Value compared with the plain bond.
Start with a plain bond: a fixed coupon and the face value back at maturity, nothing else. Each extra feature helps either the borrower (the firm) or the lender (the bondholder). Lenders pay more for a bond whose features help them and less for one whose features help the firm. An option is a right, not a duty: whoever holds it uses it only when that pays them.
Try it: Switch on the call option and the conversion option together. One pushes the value down and the other up, so the features alone cannot tell you which way the price moves.
